These Terms and Conditions ("Agreement") constitute a legally binding agreement between the PAMS Network ("PAMS," "we," "us," or "our") and the individual or entity ("Customer," "you," or "your") accessing or using the PAMS aircraft maintenance organizations software platform ("Service").
PAMS Network is a software provider registered in British Columbia, Canada, offering specialized software solutions for aircraft maintenance professionals.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement.
PAMS provides a subscription-based software platform designed for aircraft maintenance professionals. A complete list of features related to your selected subscription tier is available at www.pamsnetwork.com/aircraft-maintenance-software/#features-section.
3.1 PAMS offers a 30-day free trial ("Trial Period") of the Service to new customers. The Trial Period begins on the date of your initial registration for the Service.
3.2 During the Trial Period, you will have access to all features included in your selected subscription tier at no cost.
3.3 No payment information is required to start the Trial Period. You will be notified prior to the expiration of your Trial Period with the option to subscribe to the Service.
3.4 If you do not subscribe to the Service before the end of the Trial Period, your access to the Service will be limited until you choose to subscribe.
3.5 PAMS reserves the right to modify or terminate the Trial Period offer at any time without prior notice.
4.1 Following the Trial Period, continued access to the Service requires a paid subscription.
4.2 Current subscription pricing details are available on our website at www.pamsnetwork.com/aircraft-maintenance-software/#pricing-section. Subscription prices are guaranteed for 2 years from your subscription start date or most recent upgrade date. PAMS implements scheduled price reviews every 2 years, and any price adjustments reflect both additional features developed and current market value of the software.

4.4 Supplementary training may be requested, and the cost (if any) will be negotiated at that time.
4.5 This Agreement applies only to PAMS v1.0 (currently installed theme). If PAMS chooses to discontinue v1.0, you will be given the opportunity to purchase a copy of the codebase for a cost of 36 months at the current subscription rate.
4.6 Upgrading to a higher subscription tier resets your 2-year price guarantee period from the date of your upgrade. Early renewals or subscription downgrades will not delay scheduled price adjustments—your regular price review will still occur as originally scheduled.
5.1 Subscription fees are collected monthly, starting from the date indicated in your subscription confirmation, and will be charged to the credit card provided. All major credit cards are accepted for payment, and multiple payment options are available to accommodate your company's preferred financial processes.
5.2 Declined payments will be charged a $25 handling fee, in addition to any fees charged by the credit card vendor.
5.3 Services will not be suspended due to a declined payment unless the account has not been brought into good standing by the next billing cycle.
5.4 Accounts that are suspended will continue to be charged at the subscription rate until the account is brought into good standing.
5.5 All applicable taxes will be charged in addition to the subscription fee based on your location and in accordance with Canadian tax laws.
6.1 Cancellation requests must be submitted at least one subscription cycle (month) in advance through the designated cancellation process or by contacting [email protected].
6.2 Upon cancellation, you will maintain access to the Service until the end of the current billing cycle.
6.3 PAMS reserves the right to terminate your subscription and access to the Service for violation of this Agreement or for any other reason at our sole discretion.
7.1 All data entered into the Service by you is your sole property.
7.2 Upon request, provided your account is in good standing, PAMS will export your data in a standard format. Please allow up to 7 days for this process.
7.3 PAMS implements reasonable security measures to protect your data but cannot guarantee absolute security. The Service complies with applicable Canadian privacy laws.
7.4 PAMS will not access your data except: (a) to provide the Service; (b) to prevent or address technical or security issues; (c) as required by law; or (d) with your express consent.

8.1 Improvement requests will be reviewed and, if approved, provided at no additional cost.
8.2 Feature expansions or additional feature requests will be reviewed and, if approved, an estimate of cost will be provided for discussion.
8.3 Additional features beyond those listed in this Agreement may be included with your subscription at no extra charge; however, these features may be a "work in progress" and should be used with caution until officially released.
8.4 PAMS may update the Service from time to time to improve performance, enhance functionality, fix bugs, or comply with legal requirements.
8.5 We regularly enhance our software at no additional cost as part of our commitment to continuous improvement and customer satisfaction. Significant feature expansions may occasionally be offered as optional paid upgrades, which, if purchased, will reset your 2-year price guarantee period.
9.1 PAMS will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for planned maintenance.
9.2 PAMS will provide advance notice of scheduled maintenance whenever possible.
9.3 In the event of unplanned downtime, PAMS will work diligently to restore service as quickly as possible and will keep you informed of progress.
10.1 The Service, including all associated intellectual property rights, is and will remain the exclusive property of PAMS.
10.2 This Agreement does not grant you any rights to use PAMS's trademarks, logos, domain names, or other distinctive brand features.
10.3 You agree not to copy, modify, create derivative works, reverse engineer, decompile, or otherwise attempt to extract the source code of the Service or any part thereof.
11.1 To the maximum extent permitted by applicable law, in no event shall PAMS be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of the Service.
11.2 PAMS's total liability in contract, tort (including negligence), or otherwise arising out of your use of the Service shall be limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the liability.
11.3 The Service is provided "as is" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
12.1 You agree to indemnify, defend, and hold harmless PAMS and its officers, directors, employees, agents, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to your use of the Service or violation of this Agreement.
13.1 This Agreement shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
13.2 Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration in Vancouver, British Columbia, Canada, under the rules of the Canadian Arbitration Association.
13.3 Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
14.1 PAMS reserves the right to modify this Agreement at any time. Such modifications will be effective immediately upon posting the updated Agreement on the PAMS Network website.
14.2 Your continued use of the Service after any such changes constitutes your acceptance of the new terms.
14.3 It is your responsibility to review this Agreement periodically for changes.
15.1 This Agreement constitutes the entire agreement between you and PAMS regarding the Service and supersedes all prior agreements and understandings.
15.2 The failure of PAMS to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
15.3 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
15.4 You may not assign this Agreement without the prior written consent of PAMS, but PAMS may assign this Agreement without your consent.
